Anthropic to disclose its Public Benefit Fund's governance and valuation milestones "in the coming months"

“In the coming months, we will share more about the Anthropic Public Benefit Fund’s structure and governance, including the valuation milestones that may add to its stake.”

Context: Anthropic blog post "Investing in the public benefit" (18 Oct 2026). Subject to stockholder approval, 5% of Anthropic's shares are committed to the Anthropic Public Benefit Fund, a wholly-owned LLC, "with an additional 2% added at the board's discretion for every 50% increase in the company's value above a set baseline". The baseline was not disclosed (CNBC: "a set baseline that has yet to be disclosed"). The post adds that Anthropic will "report on our progress to date against our mission in an upcoming public benefit report." No firm deadline was given; the 18 Apr 2027 horizon (six months for "the coming months") is ours. Sources: (1) Anthropic blog, 18 Oct 2026; (2) CNBC, "Anthropic to commit 5% stake to new public benefit fund" (18 Oct 2026); (3) Reuters, same title (18 Oct 2026, via Yahoo Finance): "Anthropic said it would disclose further details in coming months on the fund's governance, structure and the valuation thresholds that could expand its ownership stake."

How we judge it

Our interpretation: kept if by 18 Apr 2027 Anthropic publicly discloses (on its website, in a public benefit report, or in a public securities filing) both (a) the Fund's governance, meaning who directs or controls its decisions, and (b) the valuation baseline or milestones that trigger additional share contributions; partly if only one of the two is disclosed by then; broken if neither is. Reporting that relies only on unnamed sources does not count.
